Please read these Terms and Conditions ("Terms") carefully before using the NewGenIT.ai website or engaging NewGenIT.ai for any services. By accessing our website or entering into a service agreement with us, you agree to be bound by these Terms.

1. About Us

NewGenIT.ai ("we", "us", "our") is an AI automation and technology services company. We provide services including, but not limited to, autonomous AI agent development, chatbot development, SaaS development, AI strategy consulting, workflow automation, and systems integration. 2. Acceptance of Terms

By visiting or using this website, or by engaging NewGenIT.ai for services, you confirm that you accept these Terms and agree to comply with them. If you do not agree to these Terms, you must not use our website or services.

3. Services

NewGenIT.ai offers technology consulting, AI development, and related professional services. The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate Statement of Work or Service Agreement entered into between NewGenIT.ai and the client. These Terms apply alongside any such agreement.

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

4. Intellectual Property

All content on this website including but not limited to text, graphics, logos, icons, and code is the property of NewGenIT.ai or its content suppliers and is protected by applicable intellectual property laws.

Unless otherwise agreed in writing, any custom work, code, or deliverables developed by NewGenIT.ai for a client become the property of the client upon full payment of all outstanding fees. NewGenIT.ai retains the right to use general methodologies, frameworks, and non-client-specific knowledge developed during any engagement.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This obligation survives the termination of any service agreement. We will not disclose client information to third parties without written consent, except as required by law.

6. Payments and Fees

Fees for services will be agreed upon in writing prior to commencement of work. Unless otherwise stated in a service agreement:

• Invoices are payable within 14 days of issue.
• Late payments may incur interest at a rate of 2% per month on the outstanding balance.
• NewGenIT.ai reserves the right to suspend work on any project where payment is overdue.

7. Refund Policy

NewGenIT.ai is committed to delivering quality services. If you are dissatisfied with a service, please contact us at finance@newgenit.ai within 7 days of delivery so we can work to resolve the matter.

• Professional services (consulting, development, integration): Fees for work completed and delivered are non-refundable. If work has not yet commenced, a full refund will be issued less any transaction or administrative fees.
• SaaS subscriptions and recurring plans: Monthly subscription fees are non-refundable once the billing period has started. You may cancel at any time and your access will continue until the end of the paid period.
• Deposits and upfront payments: Project deposits are non-refundable if work has commenced. Where a project is cancelled before commencement, the deposit may be refunded at our discretion less any expenses incurred.
• Defective or incomplete deliverables: If a deliverable fails to meet the agreed specifications, we will correct the issue at no additional charge within a reasonable timeframe. If we are unable to do so, a partial or full refund may be issued at our discretion.

Refunds, where approved, will be processed within 7 business days via the original payment method. For payments made via PayFast, refunds are subject to PayFast's refund processing timeframes.

8. Cancellation Policy

You may cancel a service engagement or subscription at any time by notifying us in writing at finance@newgenit.ai. The following terms apply:

• Project cancellation with more than 14 calendar days' notice: A cancellation fee equal to 25% of the remaining project value applies. All work completed to date is payable in full.
• Project cancellation with 14 or fewer calendar days' notice: All fees for work completed to date are payable in full. A cancellation fee of up to 50% of the outstanding project value may apply to cover resource allocation costs.
• SaaS / subscription cancellation: Cancel at any time with no penalty. Your plan remains active until the end of the current billing cycle. No pro-rata refunds are issued for unused days in a subscription period.
• Immediate termination for cause: NewGenIT.ai reserves the right to terminate any engagement immediately and without refund if a client breaches these Terms, fails to make payment, or engages in conduct detrimental to our staff or business.

All cancellation requests must be submitted in writing. Verbal cancellations will not be accepted.

9. Delivery Policy

NewGenIT.ai provides digital services and software solutions. All deliverables are delivered electronically — no physical goods are shipped.

• Project deliverables: Delivery timelines are agreed upon in the Statement of Work or service agreement. We will notify you in writing upon completion and make deliverables available via email, secure file transfer, or a designated client portal.
• SaaS platforms and hosted products: Access is provisioned within 1 business day of confirmed payment, unless otherwise stated. Login credentials and onboarding instructions are delivered via the email address provided at sign-up.
• Consulting and strategy reports: Delivered within the timeframe specified in the engagement letter, typically within 5–10 business days of the final consultation session.
• Delays: If a delivery is delayed due to circumstances within our control, we will notify you promptly and provide a revised delivery date. We are not liable for delays caused by client-side dependencies, third-party services, or force majeure events.

10. Limitation of Liability

To the fullest extent permitted by law, NewGenIT.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services or website, including but not limited to lost profits, loss of data, or business interruption.

Our total liability for any claim arising from a service engagement shall not exceed the total fees paid by the client in the three months preceding the claim.

11. Warranties

NewGenIT.ai warrants that services will be provided with reasonable skill and care. We do not warrant that AI systems or software we develop will be error-free or meet every business requirement. AI outputs are probabilistic in nature and should be reviewed by appropriate human oversight before acting upon them.

This website and its content are provided "as is" without warranties of any kind, express or implied.

12. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms part of these Terms. By using our website or services, you consent to the practices described therein.

13. Third-Party Links and Services

Our website may contain links to third-party websites or services. We are not responsible for the content, privacy practices, or availability of those external sites. Linking to a third-party site does not constitute an endorsement.

14. Acceptable Use

You agree not to use our website or services to:

• Violate any applicable law or regulation.
• Transmit any unsolicited or unauthorised advertising or promotional material.
• Introduce viruses, malware, or any other harmful material.
• Attempt to gain unauthorised access to any part of our systems or infrastructure.
• Use any AI solutions we build for purposes that are illegal, harmful, or unethical.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of South Africa. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.

16. Changes to These Terms

We may update these Terms from time to time. The date at the top of this page indicates when they were last revised. Continued use of our website or services after any changes constitutes acceptance of the updated Terms.
